TSC By Laws

CONSTITUTION AND BY-LAWS

Objective

The objective of the Towamensing Soccer Club shall be to firmly instill in the children of the community the ideals of good sportsmanship, honesty, loyalty, courage, and respect for authority, so that they may be well adjusted, stronger and happier children and will grow to be good, decent, healthy, and trustworthy citizens.

To achieve this objective, the Towamensing Soccer Club will provide a supervised program operating with priorities in the following order:

  1. Provide the opportunity for everyone to play.
  2. Always promote having fun and learning ahead of winning.
  3. Strive to develop the confidence and self-esteem of each individual participant.
  4. Strive to provide situations where players are competing within an appropriate skill level.
  5. Strive to provide opportunities for higher level competition.

The Towamensing Soccer Club is a non-profit organization providing a supervised program of instructional and competitive soccer.No part of the net earnings shall benefit any private individual or group.

The Towamensing Soccer Club shall not be used as a vehicle for personal gain or influence nor shall it be used to influence any political activity or campaign on behalf of any party or candidate for public office.

Affiliation

The Towamensing Soccer Club is affiliated with the Eastern Pennsylvania Youth Soccer Association (EPYSA), Plymouth Meeting Pennsylvania.The Towamensing Soccer Club may further affiliate as deemed necessary by the Board of Directors.

Duties of Officers

  • President
    • Shall supervise all activities of the Towamensing Soccer Club and the work of the Board of Directors.
    • Shall preside at all meetings of the Towamensing Soccer Club.
    • Shall designate in writing, other officers if necessary, to have power to make and execute for, and in the name of, the Towamensing Soccer Club such contracts and leases that may have received prior approval of the Board.
    • Shall work with the Board of Directors on policy and regulation matters but shall not have a vote on said matters except when needed to constitute a quorum or in the event of a tie vote on said matters.
    • Shall work with league treasurer to prepare an annual budget to be submitted to the Board of Directors and shall be responsible for the proper execution thereof.
    • Shall be the general representative of the Towamensing Soccer Club.
  • Vice President
    • Shall assume the responsibilities of President in the event of the absence or resignation of the President.
    • Shall, at the request of the President, take responsibility for the organizingand executing of club activities as deemed necessary by the President.
    • Shall be responsible for coordinating with other local clubs with regard to practice and/or game schedules.
    • Shall be responsible for facilitating coaching clinics for league coaches.
    • Shall be responsible for coordinating tournament play for designated tournament teams within the Towamensing Soccer Club
  • Treasurer
    • Shall have the charge of the finances of the Towamensing Soccer Club.
    • Shall receive all monies and securities; and deposit such funds in a depository approved by the Board of Directors.
    • Shall keep records for the receipt and disbursement of all monies and securities of the Towamensing Soccer Club.
    • Shall approve all payments from allotted funds and will be required to sign all checks drawn on club accounts.
    • Shall prepare an annual budget, under the direction of the President, for submission to the Board of Directors.
    • Shall attend all player registration days to ensure accurate collection of all registration fees.
  • Secretary
    • Shall create and maintain an accurate database that reflects club registrants, team rosters, coaches’ qualifications, and league volunteer background checks.
    • Shall record the minutes of all regular monthly meetings and shall maintain the official copy of the same.In his/her absence, the presiding officer shall appoint a replacement.
    • Shall read and/or distribute the monthly meeting minutes at each monthly meeting.
    • Shall attend to all correspondence.

Duties of Directors

  • The Directors, along with the President, Vice-President, Secretary, and Treasurer are the governing body of the soccer club.
  • Directors will be appointed by the officers of TSC for the purpose of handling specific operations of the soccer club (i.e. fund raising, sponsorship, concessions)
  • All Directors should be certified to coach and be prepared to coach a team in the event of a coaches’ absence or resignation.
  • No appointed Director shall hold more than one (1) office of the club at any one time.
  • At no time should a Director sit on the Board of, or coach with, any other soccer club while in office.

Filling Vacancies

  • If a vacancy shall exist for any office of the Board, for any reason, the Board of Directors of the Club shall appoint, from the members of the Club, and officer to fill such vacancy.
  • Such appointment shall take the affirmative vote of the majority of the Board of Directors.The vote shall be conducted by secret ballot.
  • Any vacancy shall be filled only for the remaining portion of that term and will be effective immediately.
  • If a Board Member has not quit, but has missed three (3) or more consecutive meetings, or has not been able to meet the needs of the league in their post, the Board of Directors may vote to warn or replace a board member in midyear.

Nominations and Elections

  • Names of volunteers for elected office will be accepted during the November and December meetings.
  • Additional nominations will be heard prior to the elections that will be conducted at January’s annual meeting.
  • No member may run for two (2) positions
  • If two or more members are nominated for the same position, a secret vote (ballot) will be conducted.
  • The Secretary will prepare the ballots based on the number of members who are eligible to vote (must attend three (3) meetings not including the annual meeting to be eligible)

Head Coaches

  • Head coaches shall be appointed annually by the President, with the approval of the Board and shall be responsible for the selection of their team and for their actions on the field.
  • Any new head coach with TSC will be required to attend a coaching clinic and earn a certificate prior to the conclusion of their initial coaching season.
  • All head coaches are required to attend the Board of Directors meeting in both June and July so they may receive specific rules of play, player selection lists, and practice schedules.If a head coach cannot attend they must send a representative from their team.
  • If the head coach and/or his representative cannot attend the afore mentioned meetings, the Board of Directors must be notified, in writing, at least seven (7) days prior to scheduled meeting.Failure to do so may jeopardize your right to coach during the coming season.

Definition of Member

  • Any person who has a child registered with the club.
  • Any person who performs as a coach, referee, groundskeeper, Board member, or member of any standing committee.

Definition of Voting Member

  • Any regular member that takes an active part in the TSC upon attending three (3) Board of Directors meetings in the twelve (12) months prior to any election shall have the right to vote.
  • It is the responsibility of the individual member to sign the attendance record during the TSC Board of Directors meetings.

Termination of Membership

  • Membership may be terminated by resignation or action of the Board.
  • The Board of Directors, by two-thirds (2/3) vote of those present at any duly constituted meeting shall have the authority to discipline, suspend, or terminate the membership of any member when the conduct of such person is considered detrimental to the best interest of TSC.
  • The member involved shall be notified of such meeting, informed of the general nature of the charges and given the opportunity to appear before the Board at a specified meeting date to respond to such charges.

Fees of Registration

  • Each participating child will pay an annual fee set by the Board of Directors.
  • The Treasurer shall collect all fees at the time of registration.
  • No one shall be denied the right to join because of his or her inability to meet the fee requirements.
  • Fees may be waived by a decision of the Board of Directors of those persons so vested with this authority by the Board of Directors.
  • The payment of a penalty for the late registration or non-participation by parents shall be a matter determined by the Board of Directors.

Appeals

  • Any ruling by an elected and/or appointed official, committee or board may be appealed by the general membership at the next general meeting.
  • Any appeal must be endorsed by at least five (5) voting members and submitted in writing.
  • The original ruling may be reversed by two-thirds (2/3) vote of the members eligible to vote.

Rules of order shall prevail at all meetings

  1. Call to order
  2. Roll call
  3. Report of officers
  4. Reading of important correspondence
  5. Committee reports
  6. Election of officers (when scheduled)
  7. Old business
  8. New business
  9. Open floor
  10. Adjournment

Reimbursement and Exemptions

  • The President, Vice President, Secretary, Treasurer and Board Members shall be reimbursed for mileage, tolls and other expenses related to league business.
